Tri-County Amateur Radio Club Minutes of Meeting: 16 December 2023
A regular monthly meeting of the Tri-County Amateur Radio Club, also constituting the club's annual meeting, was held on Saturday, 16 December 2023 at 11:30 am EST at Tres Amigos restaurant, 108 Randolph Street, Thomasville, NC, with the president, NL7UP-MeLinda, being in the chair. The meeting was called to order at 11:30 am.

Guests: None.
Adoption of Agenda
A draft agenda had been distributed prior to commencement of the meeting. Members were invited to propose changes or additions if desired. Without objection, the draft agenda was adopted.
Approval of Minutes from Previous Meeting
Without objection, reading of the draft minutes of the November 2023 meeting was waived and they were adopted.
Reports of Officers and Committees
Report of the Secretary. -- There have been no material changes to the roster since the previous meeting.
Report of the Treasurer. -- There have been no material changes to the treasury since the previous meeting.
Report of the President. -- NL7UP reiterated that there is now an apparently functional link to the club's 145.290 MHz repeater on 445.975 MHz. The link uses NL7UP's personal TYT radio which does not appear to be overheating. KO4WXR has used the link during the past week without any problems.
Open Motions from Previous Meeting
There were no open motions from the previous meeting.
New Business
Election of officers. -- Section 4.1 of the club's bylaws states that "[t]he regular meeting for December of each year shall be the annual meeting." Section 5.3 provides that officers shall be elected for a term of one year at the annual meeting in December. The Nominating Committee having nominated one member for each office, and there being no other nominations from the floor at the previous meeting, the 2023 officers were elected by acclamation as follows:

No other new business was identified on the agenda, so none was conducted.
Program and Announcements
Proposed bylaws amendment to reduce or eliminate unnecessary business meetings. -- W8LWX announced that he was tendering a proposal at this meeting, pursuant to Section 10 of the Bylaws, to amend the Bylaws. As required by Section 10, the proposed amendments were submitted in writing at this meeting, to be voted upon at the January 20, 2024 meeting. The proposal will be posted in the public "Downloads" area of NC4AR.org and distributed to members via e-mail.
The purpose of the proposed amendment is to reduce or eliminate the number of unnecessary business meetings held by the club. At present, the bylaws require business meetings to be held every month, even if there is no actual business to conduct. Under the proposed amendment, the club would only be required to hold such "regular" business meetings in January, June, and November. Whenever there is business to be conducted (i.e., a member vote) in any other month, this would be handled as a "special" meeting called for that purpose by the president or any five members. If, on the other hand, there is no business to be conducted, it is expected that we would still gather for food and fellowship on the third Saturday of the month as usual but without convening a do-nothing business meeting.
The proposed amendment would greatly reduce the officers' administrative burdens by eliminating the need to prepare an agenda, take attendance, present reports, and prepare minutes for the roughly 75 percent of meetings at which no votes are taken and no decisions are made.
Zoom classes. -- NL7UP reminded members of the schedule for ham radio license exam prep sessions offered via Zoom by KK4RR and others. The schedule was appended to the draft agenda for today's meeting and has been published on NC4AR.org as part of the November 2023 meeting minutes.
2024 dues. -- Club dues for 2024 don't officially become due and payable until the day of our first regular meeting of the year (Jan. 20, 2024), but anyone who wishes to pay early may do so now by using the PayPal link on NC4AR.org or by mailing a check to the club treasurer (made payable to Tri-County Amateur Radio Club). Rates are the same as last year.

Mailing list: The club mailing list on Groups.io is available for each and every member to use whenever he or she wishes to send out a radio-related announcement or information to all other club members. It's easy to do: just address the e-mail to members@nc4ar.groups.io and it will be automatically forwarded to all subscribed members. Just make sure the communication relates to ham radio (i.e., no politics, chain letters, advertising, religious proselytizing, etc.).

** Senior rate covers any member whose birthday is on or before 20 Jan. 1954.
Membership confers full voting rights only on licensed amateur radio operators. Unlicensed members cannot vote or serve as officers but have all other club privileges.
